§ 1 - INTRODUCTION AND SCOPE

1.1 Service Provider

These Terms and Conditions ("Terms") govern the use of electronic services provided by CargoNXT INC., a corporation incorporated under the laws of Texas, United States ("OrderNXT," "Company," "we," "us," or "our") operating the OrderNXT (also known as "ShipNXT") shipping and logistics platform.

1.2 Service Description

OrderNXT provides electronic services for organizing shipment and delivery services for Customers through the OrderNXT.com website ("Website" or "Platform").

1.3 Target Users

Services are primarily provided to Users operating as Businesses. For Consumer users, enhanced consumer protection rights apply under EU regulations.

1.4 EU Market Focus

As a service provider targeting EU customers, we are committed to full compliance with EU regulations, including GDPR, Consumer Rights Directive, Distance Selling Regulations, and E-commerce Directive.

§ 2 - DEFINITIONS

For the purposes of these Terms, the following capitalized terms have the meanings set forth below:

Account - user account provided by OrderNXT to the Customer following successful registration on the Platform

Additional Services - supplementary electronic services provided by OrderNXT to support the execution of the OrderNXT Service

API - application programming interface enabling external applications to access Platform functionality

Business - natural persons using the Platform for purposes directly related to their economic activity, and legal entities or organizational units without legal personality that have legal capacity under separate laws and conduct economic activity

Carrier - professional transport or logistics company to whom OrderNXT delegates, acting in its own name but on behalf of the Customer, services for collection, transport, and delivery of Shipments

Carrier's Additional Services - additional services offered by Carriers supporting the execution of transport services performed on behalf of the Customer

Carrier's Price List - pricing schedule applicable to a given Carrier, available on the Carrier's website and accessible through dedicated sections of the Platform

Carrier's Terms - terms and conditions governing services provided by individual Carriers, available on their respective websites and through links in dedicated Platform sections

Consumer - natural person using the Platform for purposes not directly related to their economic activity, or for purposes directly related to their economic activity where contracts concluded through Platform use are not of a professional nature for such person

Customer - User who has successfully registered a Customer Account on the Platform

Customer Account - designated server space provided by OrderNXT to Customer following registration, enabling use of Services, particularly OrderNXT Service

EU Representative - OrderNXT's designated representative in the European Union for data protection and regulatory matters

International Transport Regulations - binding international agreements concerning forwarding, postal, and transport services (including Montreal Convention, Warsaw Convention, Convention on the Contract for International Carriage of Goods by Road (CMR), and applicable Universal Postal Union regulations)

Login - Customer's email address provided during Platform registration for Customer Account access

OrderNXT Service - core electronic service provided by OrderNXT, comprising professional assistance in organizing goods transport by enabling Customers to place orders with selected Carriers for collection, transport, and delivery of Shipments on Customer's behalf

Order Form - electronic form available in Customer Account required for commissioning Shipment delivery

Password - alphanumeric character sequence known only to Customer, required for Customer Account authorization

Payment Intermediary - professional entity providing payment intermediation services according to their terms and conditions (e.g., PayU, Przelewy24, Stripe)

Personal Data - has the meaning set forth in the General Data Protection Regulation (GDPR)

Platform or Website - internet service operated by OrderNXT at www.ordernxt.com enabling Users to access Services

Price List - pricing schedule for Services provided by OrderNXT, available to logged-in Customers in dedicated Platform section

Privacy Policy - document describing personal data processing practices, available on the Platform

Registration - process of creating Customer Account on the Platform

Services - all electronic services provided by OrderNXT to Users, including OrderNXT Service and Additional Services

Shipment - goods (including living creatures) that are the subject of collection, transport, delivery, or forwarding services within the commissioned OrderNXT Service

Terms - these Terms and Conditions of Electronic Service Provision

User - person visiting the website www.ordernxt.com and using available Services, including pricing services. Customer is also a User

Withdrawal Form - standard form for exercising right of withdrawal from distance contracts, provided in Appendix A

§ 3 - GENERAL PROVISIONS

3.1 Platform Administration

OrderNXT is the owner and administrator of the Platform.

3.2 Mandatory Documentation Review

Before using Services, Customers should familiarize themselves with these Terms and the Terms of the selected Carrier who will perform collection, transport, delivery, or forwarding of Shipments

3.3 Terms Availability

These Terms are available free of charge on the Platform in the Terms section, in a manner enabling acquisition, reproduction, and retention.

3.4 Contract Formation

The moment of expressing Customer's intention to be bound by agreement with OrderNXT shall be considered the moment of Customer Account activation by clicking the activation link sent to the email address provided during Platform registration.

3.5 Technical Requirements

Platform use requires Users to meet the following technical requirements:

  • Computer or device supporting web browsers: Mozilla Firefox, Chrome, Safari, Opera (recommended version not older than 6 months)

  • Internet access

  • Active email account

3.6 Technical Liability Limitations

OrderNXT is not responsible for technical errors and Platform access problems caused by failure to meet technical requirements or third-party issues beyond our control, including internet providers, power suppliers, etc.

3.7 Maintenance and Updates

OrderNXT reserves the right to technical breaks in Platform operation and temporary Platform shutdown for repair, expansion, modification, or maintenance without prior notice, which Users acknowledge and accept.

3.8 Legal Compliance

All Users are obligated to comply with applicable law and Terms provisions. Prohibited activities include delivering or processing content that may violate Polish law, EU law, or law applicable in User's jurisdiction.

3.9 Service Nature Acknowledgment

Customer acknowledges and accepts that agreements concluded under these Terms concern Platform use within electronic services consisting of intermediation in placing orders with selected Carriers.

§ 4 - TYPES AND CONDITIONS OF ELECTRONIC SERVICES

4.1 Available Platform Functionalities

Within Services provided through the Platform, particularly OrderNXT Service and Additional Services, Customers have access to the following Platform functionalities:

  • Customer Support Center - consisting of helpline, voice assistant, and contact form

  • Carrier Matching - functionality enabling search and selection of Carriers whose offers are most optimal for Customer's individual expectations

  • Shipping Label Generation - generating shipping labels based on Shipment data entered by Customer

  • Service Information - displaying information about Services scope, details, and characteristics

  • Integrations - enabling import of orders from other platforms and online stores

  • Help Center - knowledge base including industry articles, carrier service updates, detailed conditions and guidelines for Shipment transport intermediation

  • Complaint Process Intermediation - representing Customers in complaint procedures concerning Carrier service performance

  • Recommendations - professional advice regarding Carrier selection and optimal service delivery forms

  • Reports - generated summaries of Customer orders placed through Platform

  • Shipment Tracking - status verification for dispatched Shipments

  • Social Media Integration - direct access to OrderNXT social media profiles

4.2 Service Availability

Functionalities listed above are available without additional charges within OrderNXT Service provision. Availability and scope may change.

4.3 Account Registration Requirements

To use Customer Account, Users must register using the registration form and accept these Terms and Privacy Policy. Platform registration is available for Business Users and Consumers with enhanced protection rights.

4.4 Corporate Registration

For legal entities and organizational units without legal personality, Customer Account registration must be performed by persons authorized to represent such entities or persons holding appropriate power of attorney.

4.5 Account Uniqueness

Each business registration number should be associated with only one Customer Account.

4.6 Account Confirmation

Users must confirm Customer Account registration using activation link sent to email address provided during registration. Upon confirmation, agreement for Customer Account Services is concluded, provided free of charge for indefinite period.

4.7 Password Management

During registration, Customer establishes Password known only to Customer. Password may be changed at any time after logging into Customer Account. Customer is obligated to maintain Password confidentiality.

4.8 Two-Factor Authentication

OrderNXT supports two-factor authentication. Customer may choose this option during registration or add it to existing Customer Account.

4.9 Account Deletion

Customer may delete Customer Account at any time without cause by sending request to OrderNXT, particularly via email to info@cargonxt.eu or in writing to OrderNXT address.

4.10 Account Blocking/Removal

OrderNXT may block or remove Customer Account for justified cause, particularly for violation of law, Terms, or Carrier Terms, or for actions exposing OrderNXT to damage.

§ 5 - ORDERNXT SERVICE AND ADDITIONAL SERVICES

5.1 Core Service

OrderNXT Service is the primary Service provided by OrderNXT to Customers through the Platform.

5.2 Service Access

To order OrderNXT Service, Customer must log into Customer Account.

5.3 Carrier Selection

Customer selects Carrier performing Shipment transport.

4.5 Account Uniqueness

Each business registration number should be associated with only one Customer Account.

5.4 Transport Execution

Shipment transport is performed based on transport agreement concluded by Carrier with OrderNXT, acting in its own name but on Customer's behalf.

5.5 Service Documentation

Documents necessary for proper OrderNXT Service execution are provided to Customer in Customer Account in electronic form for independent printing, unless Carrier does not provide such option.

5.6 Electronic Invoicing

Invoices issued by OrderNXT are available electronically in Customer Account. Customer consents to receiving invoices electronically. Invoice issuance moment is considered the moment of availability in Customer Account.

5.7 Order Form Completion

Customer may delete Customer Account at any time without cause by sending request to OrderNXT, particularly via email to info@cargonxt.eu or in writing to OrderNXT address.

5.8 Data Accuracy Responsibility

Customer bears full responsibility for accuracy and reliability of data provided in Order Form. Additional costs resulting from data inconsistency or improper packaging burden Customer.

5.9 Service Verification

Based on Order Form data, OrderNXT verifies possibility of organizing Shipment transport. Upon positive verification, shipping label or order acceptance confirmation is generated, constituting agreement conclusion for OrderNXT Service execution.

5.10 Pricing Basis

Transport pricing is based exclusively on information entered in Order Form by Customer and presented for Customer information and acceptance before shipment confirmation.

5.11 Individual Pricing

OrderNXT may propose individual Service prices which, upon Customer acceptance, become Price List under these Terms.

5.12 Price List Changes

OrderNXT reserves right to change Price List, introduce new and remove old Services, conduct and cancel promotional campaigns. Price List changes apply only to Services ordered after new Price List publication.

§ 6 - SHIPMENT DISPATCH AND COLLECTION

6.1 Collection Method

In Order Form, Customer indicates method of Shipment transfer to Courier. Customer may specify preferred collection time (if available from selected Carrier), though this is not guaranteed and depends on Carrier logistics capabilities.

6.2 Shipping Label Requirements

Customer is obligated to print and attach shipping label generated through Platform to Shipment, unless Carrier does not provide such option.

6.3 Packaging Obligations

Before dispatch, Customer undertakes to carefully package and secure Shipment to ensure protection against external factors and prevent damage to other shipments.

6.4 Prohibited Items

Shipments may not contain items indicated in Carrier Terms as prohibited. Customer bears exclusive responsibility for violation consequences.

6.5 Collection Refusal

Courier may refuse Shipment collection or inform Customer about price changes in cases specified in Carrier Terms.

6.6 Security Measures

OrderNXT or Carrier may:

1 - Notify appropriate authorities and retain Shipment if reasonably suspected of constituting criminal evidence or environmental/human threat

2- Refuse Shipment acceptance if it does not meet Terms or Carrier Terms requirements

6.7 Damage Reporting

In case of visible damage or loss during receipt, Recipient must immediately report this to Carrier within timeframe and according to procedures specified in Carrier Terms.

6.8 Undeliverable Shipments

If delivery to Recipient is impossible or Recipient refuses acceptance, Shipment will be returned to Sender according to Carrier Terms at Customer cost.

6.9 Cash on Delivery (COD)

When Customer selects COD delivery option, collection amount will be transferred to Customer's indicated bank account within 3 business days of OrderNXT receiving amount from Carrier.

§ 7 - PAYMENT CONDITIONS

7.1 Service Pricing

Services are provided for consideration according to Price List and applicable Carrier Price Lists.

7.2 Payment Timing

Payment for Services is processed through Platform at order placement or after invoice issuance by OrderNXT

7.3 Payment Methods

OrderNXT provides following payment methods:

1- Prepaid system - prepayment via account top-up through Payment Intermediary
2- Postpaid system - deferred payment within credit limit provided by OrderNXT
3- Direct payment after order placement through Payment Intermediary
4- Bank transfer

7.4 Postpaid System

Postpaid system involves paying for Services after use. OrderNXT determines credit limits up to which Customers may incur obligations from placed and unpaid Orders within established billing period.

7.5 Electronic Invoicing Consent

Customer consents to receiving invoices in electronic form pursuant to applicable VAT law.

7.6 Payment Terms

VAT invoice payment deadline is 7 calendar days from issuance date.

7.7 Payment Delays

For payment delays, OrderNXT may block Customer Account access and charge compensation for debt recovery costs. Customer consents to deductions described herein.

7.8 Debt Registration

Customer acknowledges and consents that overdue obligations exceeding 60 days and amounting to more than €50 will be reported to Economic Information Bureau.

§ 8 - SHIPMENT LIABILITY

8.1 Limited Liability

To the broadest extent permitted by law, OrderNXT is released from liability to Customer for damages related to non-performance or improper performance of Shipment transport services provided by Carrier.

8.2 Liability Limitations

Total OrderNXT liability for Service provision is limited to amount by which actual Shipment value decreased.

8.3 Liability Exclusions

OrderNXT bears no liability if loss, shortage, damage, or delay in organizing Shipment transport arose from:

1. Force majeure
2. Customer or Recipient fault
3. Violation of law, Terms, or Carrier Terms by Customer or Recipient
4. Shipment content properties
5. Inaccurate or insufficient Shipment content description by Customer
6. Dispatch of items excluded from transport or accepted under special conditions
7. Inadequate or defective Shipment packaging
8. Other causes specified in applicable law excluding OrderNXT liability

8.4 Declared Value

Customer may declare Shipment value for additional charge indicated in Price List. Maximum declared value amount is specified in relevant Carrier Terms.

8.5 Undeclared Value Liability

For Shipments without declared value, OrderNXT liability for transport organization is limited to €100. This exhausts all Customer claims related to such Shipment transport organization.

8.6 International Transport

For international transport Shipments without declared value, OrderNXT liability is limited to 8.33 SDR per kilogram of missing gross weight, not exceeding 10,000 SDR per Shipment.

§ 9 - COMPLAINT PROCEDURES

9.1 Complaint Submission Forms

Customer may file complaints for non-performance or improper Service performance in:

1. Electronic form - via electronic complaint form in Customer Account or contact form
2. Written form - to OrderNXT address

9.2 Complaint Types

Customer may file three types of complaints:

1. Financial complaints regarding invoices or settlements
2. Damage complaints for loss, shortage, damage, or delivery delays
3. Platform operation complaints

9.3 Complaint Processing Authority

OrderNXT may refuse to consider complaints filed in forms other than specified above and require proper resubmission within 14 days.

9.4 Financial Complaints

Financial complaints may be filed within 1 year from payment date, or if no payment occurred, from due date, unless Carrier Terms provide shorter deadline.

9.5 Damage Complaints

Remaining damage complaints may be filed within 6 months unless Carrier Terms provide shorter deadline:

1. For loss - from date Customer could consider Shipment lost
2. For shortage, damage, or delivery delay - from Shipment delivery date to addressee
3. For non-externally visible damage - from documented damage determination date

9.6 Required Complaint Information

Damage complaints should include:

1. Customer name and address
2. Complaint Shipment number
3. Claimed amount
4. Complaint justification
5. Bank account number for compensation payment
6. Shipment content description
7. Packaging method
8. Shipment dimensions and weight
9. Photographic documentation
10. Shipping label and damage report
11. Other documents related to claim

9.7 Complaint Processing Timeline

OrderNXT processes damage complaints within 30 days and financial complaints within 90 days from proper submission.

9.8 Platform Operation Complaints

Platform operation complaints will be processed within 14 days from submission in specified form.

§ 10 - CONTRACT TERMINATION

10.1 Termination Rights

Either Party may terminate Service provision agreement with 7-day notice period. Termination does not release from previously incurred obligations or affect already placed Orders.

10.2 Immediate Termination by OrderNXT

OrderNXT may terminate Service provision agreement with immediate effect for:

1. Providing false data during Platform registration
2. Providing false data in Order Form
3. Attempting to dispatch prohibited items
4. Terms violation, particularly trade secret breach
5. Payment delays exceeding 180 days from due date

§ 11 - PERSONAL DATA PROCESSING

Personal data processing related to OrderNXT Services is described in Privacy Policy available on Platform.

11.1 GDPR Compliance

OrderNXT processes personal data in accordance with GDPR and applicable EU data protection laws.

11.2 EU Representative

For data protection matters, our designated EU Representative is:
Kaan Cakar, Lesna 1, Chwasczyno, Poland

11.3 Data Subject Rights

EU individuals have rights including access, rectification, erasure, restriction of processing, data portability, objection, and rights related to automated decision-making.

11.4 Data Transfers

Personal data is stored and processed within the European Union with appropriate safeguards for any transfers outside EU.

§ 12 - EU CONSUMER RIGHTS

12.1 Right of Withdrawal

EU Consumers have right to withdraw from service contracts within 14 calendar days from contract conclusion without giving reasons, subject to exceptions under applicable law.

12.2 Withdrawal Procedure

Withdrawal must be communicated via Withdrawal Form (Appendix A) or clear statement. Services already performed with explicit consent forfeit withdrawal rights for performed portions.

12.3 Information Requirements

Before contract conclusion, we provide required information under Distance Selling Regulations including our identity, service characteristics, total price, payment arrangements, and cancellation rights.

12.4 Consumer Protection

Nothing in these Terms affects Consumer rights under mandatory EU consumer protection laws.

§ 13 - GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Applicable Law

For EU Consumers: These Terms are governed by law of EU Member State where services are provided, without prejudice to mandatory consumer protection laws.

For Business Users: These Terms are governed by [JURISDICTION] law with EU regulations taking precedence where applicable.

13.2 Jurisdiction

For EU Consumers: Legal proceedings may be brought in courts of Consumer's EU Member State of residence.

For Business Users: Disputes subject to jurisdiction of Texas with alternative dispute resolution options available

13.3 Alternative Dispute Resolution

EU Consumers may access Online Dispute Resolution platform at http://ec.europa.eu/consumers/odr/ and European Consumer Centre network.

§ 14 - FINAL PROVISIONS

14.1 Service Modifications

OrderNXT may modify provided Services without User notification.

14.2 Terms Amendments

OrderNXT may amend Terms provisions. Text will be made available on Platform and sent to Customer email addresses. Amendments take effect 14 days after notification. Customers may terminate agreement within 14 days of Terms amendment notification.

14.3 Intellectual Property

Copyright and intellectual property rights to Platform and its elements belong to OrderNXT or authorized third parties and are protected by applicable law.

14.4 Applicable Law

For matters not regulated in Terms, applicable provisions of law apply, particularly Civil Code and Electronic Services Act.

14.5 Severability

If any Term provision is unenforceable, remaining provisions remain in full force and effect.

3.6 Technical Liability Limitations

OrderNXT is not responsible for technical errors and Platform access problems caused by failure to meet technical requirements or third-party issues beyond our control, including internet providers, power suppliers, etc.

3.7 Maintenance and Updates

OrderNXT reserves the right to technical breaks in Platform operation and temporary Platform shutdown for repair, expansion, modification, or maintenance without prior notice, which Users acknowledge and accept.

3.8 Legal Compliance

All Users are obligated to comply with applicable law and Terms provisions. Prohibited activities include delivering or processing content that may violate Polish law, EU law, or law applicable in User's jurisdiction.

3.9 Service Nature Acknowledgment

Customer acknowledges and accepts that agreements concluded under these Terms concern Platform use within electronic services consisting of intermediation in placing orders with selected Carriers.

§ 4 - TYPES AND CONDITIONS OF ELECTRONIC SERVICES

4.1 Available Platform Functionalities

Within Services provided through the Platform, particularly OrderNXT Service and Additional Services, Customers have access to the following Platform functionalities:

  • Customer Support Center - consisting of helpline, voice assistant, and contact form

  • Carrier Matching - functionality enabling search and selection of Carriers whose offers are most optimal for Customer's individual expectations

  • Shipping Label Generation - generating shipping labels based on Shipment data entered by Customer

  • Service Information - displaying information about Services scope, details, and characteristics

  • Integrations - enabling import of orders from other platforms and online stores

  • Help Center - knowledge base including industry articles, carrier service updates, detailed conditions and guidelines for Shipment transport intermediation

  • Complaint Process Intermediation - representing Customers in complaint procedures concerning Carrier service performance

  • Recommendations - professional advice regarding Carrier selection and optimal service delivery forms

  • Reports - generated summaries of Customer orders placed through Platform

  • Shipment Tracking - status verification for dispatched Shipments

  • Social Media Integration - direct access to OrderNXT social media profiles

4.2 Service Availability

Functionalities listed above are available without additional charges within OrderNXT Service provision. Availability and scope may change.

4.3 Account Registration Requirements

To use Customer Account, Users must register using the registration form and accept these Terms and Privacy Policy. Platform registration is available for Business Users and Consumers with enhanced protection rights.

4.4 Corporate Registration

For legal entities and organizational units without legal personality, Customer Account registration must be performed by persons authorized to represent such entities or persons holding appropriate power of attorney.

4.5 Account Uniqueness

Each business registration number should be associated with only one Customer Account.

4.6 Account Confirmation

Users must confirm Customer Account registration using activation link sent to email address provided during registration. Upon confirmation, agreement for Customer Account Services is concluded, provided free of charge for indefinite period.

4.7 Password Management

During registration, Customer establishes Password known only to Customer. Password may be changed at any time after logging into Customer Account. Customer is obligated to maintain Password confidentiality.

4.8 Two-Factor Authentication

OrderNXT supports two-factor authentication. Customer may choose this option during registration or add it to existing Customer Account.

4.9 Account Deletion

Customer may delete Customer Account at any time without cause by sending request to OrderNXT, particularly via email to info@cargonxt.eu or in writing to OrderNXT address.

4.10 Account Blocking/Removal

OrderNXT may block or remove Customer Account for justified cause, particularly for violation of law, Terms, or Carrier Terms, or for actions exposing OrderNXT to damage.

§ 5 - ORDERNXT SERVICE AND ADDITIONAL SERVICES

5.1 Core Service

OrderNXT Service is the primary Service provided by OrderNXT to Customers through the Platform.

5.2 Service Access

To order OrderNXT Service, Customer must log into Customer Account.

5.3 Carrier Selection

Customer selects Carrier performing Shipment transport.

4.5 Account Uniqueness

Each business registration number should be associated with only one Customer Account.

5.4 Transport Execution

Shipment transport is performed based on transport agreement concluded by Carrier with OrderNXT, acting in its own name but on Customer's behalf.

5.5 Service Documentation

Documents necessary for proper OrderNXT Service execution are provided to Customer in Customer Account in electronic form for independent printing, unless Carrier does not provide such option.

5.6 Electronic Invoicing

Invoices issued by OrderNXT are available electronically in Customer Account. Customer consents to receiving invoices electronically. Invoice issuance moment is considered the moment of availability in Customer Account.

5.7 Order Form Completion

Customer may delete Customer Account at any time without cause by sending request to OrderNXT, particularly via email to info@cargonxt.eu or in writing to OrderNXT address.

5.8 Data Accuracy Responsibility

Customer bears full responsibility for accuracy and reliability of data provided in Order Form. Additional costs resulting from data inconsistency or improper packaging burden Customer.

5.9 Service Verification

Based on Order Form data, OrderNXT verifies possibility of organizing Shipment transport. Upon positive verification, shipping label or order acceptance confirmation is generated, constituting agreement conclusion for OrderNXT Service execution.

5.10 Pricing Basis

Transport pricing is based exclusively on information entered in Order Form by Customer and presented for Customer information and acceptance before shipment confirmation.

5.11 Individual Pricing

OrderNXT may propose individual Service prices which, upon Customer acceptance, become Price List under these Terms.

5.12 Price List Changes

OrderNXT reserves right to change Price List, introduce new and remove old Services, conduct and cancel promotional campaigns. Price List changes apply only to Services ordered after new Price List publication.

§ 6 - SHIPMENT DISPATCH AND COLLECTION

6.1 Collection Method

In Order Form, Customer indicates method of Shipment transfer to Courier. Customer may specify preferred collection time (if available from selected Carrier), though this is not guaranteed and depends on Carrier logistics capabilities.

6.2 Shipping Label Requirements

Customer is obligated to print and attach shipping label generated through Platform to Shipment, unless Carrier does not provide such option.

6.3 Packaging Obligations

Before dispatch, Customer undertakes to carefully package and secure Shipment to ensure protection against external factors and prevent damage to other shipments.

6.4 Prohibited Items

Shipments may not contain items indicated in Carrier Terms as prohibited. Customer bears exclusive responsibility for violation consequences.

6.5 Collection Refusal

Courier may refuse Shipment collection or inform Customer about price changes in cases specified in Carrier Terms.

6.6 Security Measures

OrderNXT or Carrier may:

1 - Notify appropriate authorities and retain Shipment if reasonably suspected of constituting criminal evidence or environmental/human threat

2- Refuse Shipment acceptance if it does not meet Terms or Carrier Terms requirements

6.7 Damage Reporting

In case of visible damage or loss during receipt, Recipient must immediately report this to Carrier within timeframe and according to procedures specified in Carrier Terms.

6.8 Undeliverable Shipments

If delivery to Recipient is impossible or Recipient refuses acceptance, Shipment will be returned to Sender according to Carrier Terms at Customer cost.

6.9 Cash on Delivery (COD)

When Customer selects COD delivery option, collection amount will be transferred to Customer's indicated bank account within 3 business days of OrderNXT receiving amount from Carrier.

§ 7 - PAYMENT CONDITIONS

7.1 Service Pricing

Services are provided for consideration according to Price List and applicable Carrier Price Lists.

7.2 Payment Timing

Payment for Services is processed through Platform at order placement or after invoice issuance by OrderNXT

7.3 Payment Methods

OrderNXT provides following payment methods:

1- Prepaid system - prepayment via account top-up through Payment Intermediary
2- Postpaid system - deferred payment within credit limit provided by OrderNXT
3- Direct payment after order placement through Payment Intermediary
4- Bank transfer

7.4 Postpaid System

Postpaid system involves paying for Services after use. OrderNXT determines credit limits up to which Customers may incur obligations from placed and unpaid Orders within established billing period.

7.5 Electronic Invoicing Consent

Customer consents to receiving invoices in electronic form pursuant to applicable VAT law.

7.6 Payment Terms

VAT invoice payment deadline is 7 calendar days from issuance date.

7.7 Payment Delays

For payment delays, OrderNXT may block Customer Account access and charge compensation for debt recovery costs. Customer consents to deductions described herein.

7.8 Debt Registration

Customer acknowledges and consents that overdue obligations exceeding 60 days and amounting to more than €50 will be reported to Economic Information Bureau.

§ 8 - SHIPMENT LIABILITY

8.1 Limited Liability

To the broadest extent permitted by law, OrderNXT is released from liability to Customer for damages related to non-performance or improper performance of Shipment transport services provided by Carrier.

8.2 Liability Limitations

Total OrderNXT liability for Service provision is limited to amount by which actual Shipment value decreased.

8.3 Liability Exclusions

OrderNXT bears no liability if loss, shortage, damage, or delay in organizing Shipment transport arose from:

1. Force majeure
2. Customer or Recipient fault
3. Violation of law, Terms, or Carrier Terms by Customer or Recipient
4. Shipment content properties
5. Inaccurate or insufficient Shipment content description by Customer
6. Dispatch of items excluded from transport or accepted under special conditions
7. Inadequate or defective Shipment packaging
8. Other causes specified in applicable law excluding OrderNXT liability

8.4 Declared Value

Customer may declare Shipment value for additional charge indicated in Price List. Maximum declared value amount is specified in relevant Carrier Terms.

8.5 Undeclared Value Liability

For Shipments without declared value, OrderNXT liability for transport organization is limited to €100. This exhausts all Customer claims related to such Shipment transport organization.

8.6 International Transport

For international transport Shipments without declared value, OrderNXT liability is limited to 8.33 SDR per kilogram of missing gross weight, not exceeding 10,000 SDR per Shipment.

§ 9 - COMPLAINT PROCEDURES

9.1 Complaint Submission Forms

Customer may file complaints for non-performance or improper Service performance in:

1. Electronic form - via electronic complaint form in Customer Account or contact form
2. Written form - to OrderNXT address

9.2 Complaint Types

Customer may file three types of complaints:

1. Financial complaints regarding invoices or settlements
2. Damage complaints for loss, shortage, damage, or delivery delays
3. Platform operation complaints

9.3 Complaint Processing Authority

OrderNXT may refuse to consider complaints filed in forms other than specified above and require proper resubmission within 14 days.

9.4 Financial Complaints

Financial complaints may be filed within 1 year from payment date, or if no payment occurred, from due date, unless Carrier Terms provide shorter deadline.

9.5 Damage Complaints

Remaining damage complaints may be filed within 6 months unless Carrier Terms provide shorter deadline:

1. For loss - from date Customer could consider Shipment lost
2. For shortage, damage, or delivery delay - from Shipment delivery date to addressee
3. For non-externally visible damage - from documented damage determination date

9.6 Required Complaint Information

Damage complaints should include:

1. Customer name and address
2. Complaint Shipment number
3. Claimed amount
4. Complaint justification
5. Bank account number for compensation payment
6. Shipment content description
7. Packaging method
8. Shipment dimensions and weight
9. Photographic documentation
10. Shipping label and damage report
11. Other documents related to claim

9.7 Complaint Processing Timeline

OrderNXT processes damage complaints within 30 days and financial complaints within 90 days from proper submission.

9.8 Platform Operation Complaints

Platform operation complaints will be processed within 14 days from submission in specified form.

§ 10 - CONTRACT TERMINATION

10.1 Termination Rights

Either Party may terminate Service provision agreement with 7-day notice period. Termination does not release from previously incurred obligations or affect already placed Orders.

10.2 Immediate Termination by OrderNXT

OrderNXT may terminate Service provision agreement with immediate effect for:

1. Providing false data during Platform registration
2. Providing false data in Order Form
3. Attempting to dispatch prohibited items
4. Terms violation, particularly trade secret breach
5. Payment delays exceeding 180 days from due date

§ 11 - PERSONAL DATA PROCESSING

Personal data processing related to OrderNXT Services is described in Privacy Policy available on Platform.

11.1 GDPR Compliance

OrderNXT processes personal data in accordance with GDPR and applicable EU data protection laws.

11.2 EU Representative

For data protection matters, our designated EU Representative is:
Kaan Cakar, Lesna 1, Chwasczyno, Poland

11.3 Data Subject Rights

EU individuals have rights including access, rectification, erasure, restriction of processing, data portability, objection, and rights related to automated decision-making.

11.4 Data Transfers

Personal data is stored and processed within the European Union with appropriate safeguards for any transfers outside EU.

§ 12 - EU CONSUMER RIGHTS

12.1 Right of Withdrawal

EU Consumers have right to withdraw from service contracts within 14 calendar days from contract conclusion without giving reasons, subject to exceptions under applicable law.

12.2 Withdrawal Procedure

Withdrawal must be communicated via Withdrawal Form (Appendix A) or clear statement. Services already performed with explicit consent forfeit withdrawal rights for performed portions.

12.3 Information Requirements

Before contract conclusion, we provide required information under Distance Selling Regulations including our identity, service characteristics, total price, payment arrangements, and cancellation rights.

12.4 Consumer Protection

Nothing in these Terms affects Consumer rights under mandatory EU consumer protection laws.

§ 13 - GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Applicable Law

For EU Consumers: These Terms are governed by law of EU Member State where services are provided, without prejudice to mandatory consumer protection laws.

For Business Users: These Terms are governed by [JURISDICTION] law with EU regulations taking precedence where applicable.

13.2 Jurisdiction

For EU Consumers: Legal proceedings may be brought in courts of Consumer's EU Member State of residence.

For Business Users: Disputes subject to jurisdiction of Texas with alternative dispute resolution options available

13.3 Alternative Dispute Resolution

EU Consumers may access Online Dispute Resolution platform at http://ec.europa.eu/consumers/odr/ and European Consumer Centre network.

§ 14 - FINAL PROVISIONS

14.1 Service Modifications

OrderNXT may modify provided Services without User notification.

14.2 Terms Amendments

OrderNXT may amend Terms provisions. Text will be made available on Platform and sent to Customer email addresses. Amendments take effect 14 days after notification. Customers may terminate agreement within 14 days of Terms amendment notification.

14.3 Intellectual Property

Copyright and intellectual property rights to Platform and its elements belong to OrderNXT or authorized third parties and are protected by applicable law.

14.4 Applicable Law

For matters not regulated in Terms, applicable provisions of law apply, particularly Civil Code and Electronic Services Act.

14.5 Severability

If any Term provision is unenforceable, remaining provisions remain in full force and effect.

Services are primarily provided to Users operating as Businesses. For Consumer users, enhanced consumer protection rights apply under EU regulations.

1.4 EU Market Focus

As a service provider targeting EU customers, we are committed to full compliance with EU regulations, including GDPR, Consumer Rights Directive, Distance Selling Regulations, and E-commerce Directive.

§ 2 - DEFINITIONS

For the purposes of these Terms, the following capitalized terms have the meanings set forth below:

Account - user account provided by OrderNXT to the Customer following successful registration on the Platform

Additional Services - supplementary electronic services provided by OrderNXT to support the execution of the OrderNXT Service

API - application programming interface enabling external applications to access Platform functionality

Business - natural persons using the Platform for purposes directly related to their economic activity, and legal entities or organizational units without legal personality that have legal capacity under separate laws and conduct economic activity

Carrier - professional transport or logistics company to whom OrderNXT delegates, acting in its own name but on behalf of the Customer, services for collection, transport, and delivery of Shipments

Carrier's Additional Services - additional services offered by Carriers supporting the execution of transport services performed on behalf of the Customer

Carrier's Price List - pricing schedule applicable to a given Carrier, available on the Carrier's website and accessible through dedicated sections of the Platform

Carrier's Terms - terms and conditions governing services provided by individual Carriers, available on their respective websites and through links in dedicated Platform sections

Consumer - natural person using the Platform for purposes not directly related to their economic activity, or for purposes directly related to their economic activity where contracts concluded through Platform use are not of a professional nature for such person

Customer - User who has successfully registered a Customer Account on the Platform

Customer Account - designated server space provided by OrderNXT to Customer following registration, enabling use of Services, particularly OrderNXT Service

EU Representative - OrderNXT's designated representative in the European Union for data protection and regulatory matters

International Transport Regulations - binding international agreements concerning forwarding, postal, and transport services (including Montreal Convention, Warsaw Convention, Convention on the Contract for International Carriage of Goods by Road (CMR), and applicable Universal Postal Union regulations)

Login - Customer's email address provided during Platform registration for Customer Account access

OrderNXT Service - core electronic service provided by OrderNXT, comprising professional assistance in organizing goods transport by enabling Customers to place orders with selected Carriers for collection, transport, and delivery of Shipments on Customer's behalf

Order Form - electronic form available in Customer Account required for commissioning Shipment delivery

Password - alphanumeric character sequence known only to Customer, required for Customer Account authorization

Payment Intermediary - professional entity providing payment intermediation services according to their terms and conditions (e.g., PayU, Przelewy24, Stripe)

Personal Data - has the meaning set forth in the General Data Protection Regulation (GDPR)

Platform or Website - internet service operated by OrderNXT at www.ordernxt.com enabling Users to access Services

Price List - pricing schedule for Services provided by OrderNXT, available to logged-in Customers in dedicated Platform section

Privacy Policy - document describing personal data processing practices, available on the Platform

Registration - process of creating Customer Account on the Platform

Services - all electronic services provided by OrderNXT to Users, including OrderNXT Service and Additional Services

Shipment - goods (including living creatures) that are the subject of collection, transport, delivery, or forwarding services within the commissioned OrderNXT Service

Terms - these Terms and Conditions of Electronic Service Provision

User - person visiting the website www.ordernxt.com and using available Services, including pricing services. Customer is also a User

Withdrawal Form - standard form for exercising right of withdrawal from distance contracts, provided in Appendix A

§ 3 - GENERAL PROVISIONS

3.1 Platform Administration

OrderNXT is the owner and administrator of the Platform.

3.2 Mandatory Documentation Review

Before using Services, Customers should familiarize themselves with these Terms and the Terms of the selected Carrier who will perform collection, transport, delivery, or forwarding of Shipments

3.3 Terms Availability

These Terms are available free of charge on the Platform in the Terms section, in a manner enabling acquisition, reproduction, and retention.

3.4 Contract Formation

The moment of expressing Customer's intention to be bound by agreement with OrderNXT shall be considered the moment of Customer Account activation by clicking the activation link sent to the email address provided during Platform registration.

3.5 Technical Requirements

Platform use requires Users to meet the following technical requirements:

  • Computer or device supporting web browsers: Mozilla Firefox, Chrome, Safari, Opera (recommended version not older than 6 months)

  • Internet access

  • Active email account

OrderNXT may propose individual Service prices which, upon Customer acceptance, become Price List under these Terms.

5.12 Price List Changes

OrderNXT reserves right to change Price List, introduce new and remove old Services, conduct and cancel promotional campaigns. Price List changes apply only to Services ordered after new Price List publication.

§ 6 - SHIPMENT DISPATCH AND COLLECTION

6.1 Collection Method

In Order Form, Customer indicates method of Shipment transfer to Courier. Customer may specify preferred collection time (if available from selected Carrier), though this is not guaranteed and depends on Carrier logistics capabilities.

6.2 Shipping Label Requirements

Customer is obligated to print and attach shipping label generated through Platform to Shipment, unless Carrier does not provide such option.

6.3 Packaging Obligations

Before dispatch, Customer undertakes to carefully package and secure Shipment to ensure protection against external factors and prevent damage to other shipments.

6.4 Prohibited Items

Shipments may not contain items indicated in Carrier Terms as prohibited. Customer bears exclusive responsibility for violation consequences.

6.5 Collection Refusal

Courier may refuse Shipment collection or inform Customer about price changes in cases specified in Carrier Terms.

6.6 Security Measures

OrderNXT or Carrier may:

1 - Notify appropriate authorities and retain Shipment if reasonably suspected of constituting criminal evidence or environmental/human threat

2- Refuse Shipment acceptance if it does not meet Terms or Carrier Terms requirements

6.7 Damage Reporting

In case of visible damage or loss during receipt, Recipient must immediately report this to Carrier within timeframe and according to procedures specified in Carrier Terms.

6.8 Undeliverable Shipments

If delivery to Recipient is impossible or Recipient refuses acceptance, Shipment will be returned to Sender according to Carrier Terms at Customer cost.

6.9 Cash on Delivery (COD)

When Customer selects COD delivery option, collection amount will be transferred to Customer's indicated bank account within 3 business days of OrderNXT receiving amount from Carrier.

§ 7 - PAYMENT CONDITIONS

7.1 Service Pricing

Services are provided for consideration according to Price List and applicable Carrier Price Lists.

7.2 Payment Timing

Payment for Services is processed through Platform at order placement or after invoice issuance by OrderNXT

7.3 Payment Methods

OrderNXT provides following payment methods:

1- Prepaid system - prepayment via account top-up through Payment Intermediary
2- Postpaid system - deferred payment within credit limit provided by OrderNXT
3- Direct payment after order placement through Payment Intermediary
4- Bank transfer

7.4 Postpaid System

Postpaid system involves paying for Services after use. OrderNXT determines credit limits up to which Customers may incur obligations from placed and unpaid Orders within established billing period.

7.5 Electronic Invoicing Consent

Customer consents to receiving invoices in electronic form pursuant to applicable VAT law.

7.6 Payment Terms

VAT invoice payment deadline is 7 calendar days from issuance date.

7.7 Payment Delays

For payment delays, OrderNXT may block Customer Account access and charge compensation for debt recovery costs. Customer consents to deductions described herein.

7.8 Debt Registration

Customer acknowledges and consents that overdue obligations exceeding 60 days and amounting to more than €50 will be reported to Economic Information Bureau.

§ 8 - SHIPMENT LIABILITY

8.1 Limited Liability

To the broadest extent permitted by law, OrderNXT is released from liability to Customer for damages related to non-performance or improper performance of Shipment transport services provided by Carrier.

8.2 Liability Limitations

Total OrderNXT liability for Service provision is limited to amount by which actual Shipment value decreased.

8.3 Liability Exclusions

OrderNXT bears no liability if loss, shortage, damage, or delay in organizing Shipment transport arose from:

1. Force majeure
2. Customer or Recipient fault
3. Violation of law, Terms, or Carrier Terms by Customer or Recipient
4. Shipment content properties
5. Inaccurate or insufficient Shipment content description by Customer
6. Dispatch of items excluded from transport or accepted under special conditions
7. Inadequate or defective Shipment packaging
8. Other causes specified in applicable law excluding OrderNXT liability

8.4 Declared Value

Customer may declare Shipment value for additional charge indicated in Price List. Maximum declared value amount is specified in relevant Carrier Terms.

8.5 Undeclared Value Liability

For Shipments without declared value, OrderNXT liability for transport organization is limited to €100. This exhausts all Customer claims related to such Shipment transport organization.

8.6 International Transport

For international transport Shipments without declared value, OrderNXT liability is limited to 8.33 SDR per kilogram of missing gross weight, not exceeding 10,000 SDR per Shipment.

§ 9 - COMPLAINT PROCEDURES

9.1 Complaint Submission Forms

Customer may file complaints for non-performance or improper Service performance in:

1. Electronic form - via electronic complaint form in Customer Account or contact form
2. Written form - to OrderNXT address

9.2 Complaint Types

Customer may file three types of complaints:

1. Financial complaints regarding invoices or settlements
2. Damage complaints for loss, shortage, damage, or delivery delays
3. Platform operation complaints

9.3 Complaint Processing Authority

OrderNXT may refuse to consider complaints filed in forms other than specified above and require proper resubmission within 14 days.

9.4 Financial Complaints

Financial complaints may be filed within 1 year from payment date, or if no payment occurred, from due date, unless Carrier Terms provide shorter deadline.

9.5 Damage Complaints

Remaining damage complaints may be filed within 6 months unless Carrier Terms provide shorter deadline:

1. For loss - from date Customer could consider Shipment lost
2. For shortage, damage, or delivery delay - from Shipment delivery date to addressee
3. For non-externally visible damage - from documented damage determination date

9.6 Required Complaint Information

Damage complaints should include:

1. Customer name and address
2. Complaint Shipment number
3. Claimed amount
4. Complaint justification
5. Bank account number for compensation payment
6. Shipment content description
7. Packaging method
8. Shipment dimensions and weight
9. Photographic documentation
10. Shipping label and damage report
11. Other documents related to claim

9.7 Complaint Processing Timeline

OrderNXT processes damage complaints within 30 days and financial complaints within 90 days from proper submission.

9.8 Platform Operation Complaints

Platform operation complaints will be processed within 14 days from submission in specified form.

§ 10 - CONTRACT TERMINATION

10.1 Termination Rights

Either Party may terminate Service provision agreement with 7-day notice period. Termination does not release from previously incurred obligations or affect already placed Orders.

10.2 Immediate Termination by OrderNXT

OrderNXT may terminate Service provision agreement with immediate effect for:

1. Providing false data during Platform registration
2. Providing false data in Order Form
3. Attempting to dispatch prohibited items
4. Terms violation, particularly trade secret breach
5. Payment delays exceeding 180 days from due date

§ 11 - PERSONAL DATA PROCESSING

Personal data processing related to OrderNXT Services is described in Privacy Policy available on Platform.

11.1 GDPR Compliance

OrderNXT processes personal data in accordance with GDPR and applicable EU data protection laws.

11.2 EU Representative

For data protection matters, our designated EU Representative is:

11.3 Data Subject Rights

EU individuals have rights including access, rectification, erasure, restriction of processing, data portability, objection, and rights related to automated decision-making.

11.4 Data Transfers

Personal data is stored and processed within the European Union with appropriate safeguards for any transfers outside EU.

§ 12 - EU CONSUMER RIGHTS

12.1 Right of Withdrawal

EU Consumers have right to withdraw from service contracts within 14 calendar days from contract conclusion without giving reasons, subject to exceptions under applicable law.

12.2 Withdrawal Procedure

Withdrawal must be communicated via Withdrawal Form (Appendix A) or clear statement. Services already performed with explicit consent forfeit withdrawal rights for performed portions.

12.3 Information Requirements

Before contract conclusion, we provide required information under Distance Selling Regulations including our identity, service characteristics, total price, payment arrangements, and cancellation rights.

12.4 Consumer Protection

Nothing in these Terms affects Consumer rights under mandatory EU consumer protection laws.

§ 13 - GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Applicable Law

For EU Consumers: These Terms are governed by law of EU Member State where services are provided, without prejudice to mandatory consumer protection laws.

For Business Users: These Terms are governed by [JURISDICTION] law with EU regulations taking precedence where applicable.

13.2 Jurisdiction

For EU Consumers: Legal proceedings may be brought in courts of Consumer's EU Member State of residence.

For Business Users: Disputes subject to jurisdiction of Texas with alternative dispute resolution options available

13.3 Alternative Dispute Resolution

EU Consumers may access Online Dispute Resolution platform at http://ec.europa.eu/consumers/odr/ and European Consumer Centre network.

§ 14 - FINAL PROVISIONS

14.1 Service Modifications

OrderNXT may modify provided Services without User notification.

14.2 Terms Amendments

OrderNXT may amend Terms provisions. Text will be made available on Platform and sent to Customer email addresses. Amendments take effect 14 days after notification. Customers may terminate agreement within 14 days of Terms amendment notification.

14.3 Intellectual Property

Copyright and intellectual property rights to Platform and its elements belong to OrderNXT or authorized third parties and are protected by applicable law.

14.4 Applicable Law

For matters not regulated in Terms, applicable provisions of law apply, particularly Civil Code and Electronic Services Act.

14.5 Severability

If any Term provision is unenforceable, remaining provisions remain in full force and effect.
